Ecommerce: Hosting Service Terms and Conditions

Definitions

Duration of Service

An agreement for the Service will commence upon written instructions and continue until cancelled by one months written notice by either party.  Upon termination of the contract all data of any type in the Company's possession relating to the web site will be made available to the Customer

Payment

Payment for the Service is required monthly in arrears. A fully itemised invoice will be provided including transaction lists where these are appropriate. In case of failure to comply with these terms, the Company reserves the right to suspend all services until payment is received.

Rates will be in accordance with the stated amount for the Service and thereafter will only be increased by three months period of notice.

Scope

The Service will operate 24 hours a day 365 days per year. The Company will be responsible for the administration of the Service with a view to maximising and performance. All data held on the web site and in the associated database will be backed up every day. In the case of system failure all data and programs will be restored to normal operation as soon as possible within Normal Office Hours. System performance will be monitored and capacity of hardware, software or communications will be increased as seen fit to maintain performance.

Authorised Customer access will be provided if required to allow the update of web files, or the download of log files related to their site. During the building of the web site we will make available a suitable test site and test the selected payment gateway mechanism. The Company reserves the right to add its logo to any or all pages of the site for marketing purposes. Such logo will be no bigger that 150x50 pixels.

The Company will endeavour where possible to maintain the highest standards of accuracy and high performance operation. However the company also cannot be held responsible for loss of business or data, or incorrect operation of a Web site or its connected sites or communications.

Confidentiality

The company holds all data held on the computer system as confidential for non-disclosure. Any information will not be passed on or communicated in any way to a third party, including subcontracted work, unless explicitly instructed by the Customer. Any such data remains the property of the Customer.
